Coach Partnership Agreement

NextPitch AI Platform — Expert Coach Cooperation Agreement

This Coaching Partnership Agreement ("Agreement") is entered into as of the date signed below, by and between:

Coach: As identified in the signed copy of this Agreement.

Collectively referred to as "the Parties."

1. Purpose

NextPitch AI is an AI-powered pitch and presentation coaching platform. The Platform connects users with expert human coaches for 1-on-1 coaching sessions. The Coach agrees to provide coaching services to NextPitch AI users under the terms set out in this Agreement.

2. Scope of Services

2.1 Session Format

  • Duration: 60 minutes per session
  • Format: Live video call (platform to be agreed, e.g. Zoom, Google Meet)
  • Language: As agreed per Coach profile (English / Chinese / other)
  • Specialty: As listed on the Coach's profile on the Platform

2.2 Scope Limitation

The Coach is engaged solely to provide coaching services. The Coach is not an employee, agent, or representative of NextPitch AI for any other purpose.

3. Scheduling and Availability

3.1 Slot Submission

The Coach agrees to provide available time slots on a regular basis (weekly or as otherwise agreed). Slots must be submitted at least 7 days in advance.

3.2 Slot Management

NextPitch AI manages all scheduling on behalf of the Coach: displaying available slots to users, confirming bookings within 24 hours of payment, and notifying of cancellations promptly.

3.3 Commitment to Booked Sessions

Once a session is confirmed (payment received), the Coach commits to attending at the agreed time. Cancellations require at least 48 hours' notice. More than 2 last-minute cancellations in any 30-day period may result in suspension or termination.

3.4 Booking Window

Users may book sessions up to six (6) weeks in advance.

4. Compensation

4.1 Coach Rate

The Coach's agreed hourly rate is negotiated individually and is not disclosed to users of the Platform.

4.2 Platform Fee

NextPitch AI is the merchant of record. The Platform sets its own user-facing pricing and retains the difference as a platform fee. The Coach's agreed rate is guaranteed regardless of any promotions offered to users.

4.3 Currency

All payments are made in USD unless otherwise agreed in writing.

5. Cancellation and Refund Policy

5.1 User Cancellation

  • More than 24 hours before session: full refund to user; no compensation to Coach.
  • Within 24 hours of session: 50% of agreed rate paid to Coach as late-cancellation fee.
  • No-show: 50% of agreed rate paid to Coach.

5.2 Coach Cancellation

  • More than 48 hours before session: full refund to user; no compensation to Coach.
  • Within 48 hours of session: NextPitch AI reserves the right to withhold compensation and may note the cancellation on the Coach's profile.

6. Data and Privacy

6.1 Coach Profile Data

The Coach consents to NextPitch AI displaying their name, title, biography, and specialties on the Platform.

6.2 Session Recording

Sessions will not be recorded by NextPitch AI without explicit written consent from both the Coach and the user.

7. Conduct and Quality Standards

  • Conduct sessions professionally and punctually.
  • Maintain a distraction-free video environment.
  • Not solicit users outside the Platform for 12 months following termination of this Agreement.
  • Not disparage NextPitch AI or its services to users.

8. Intellectual Property

All coaching content, frameworks, and materials remain the intellectual property of the Coach. Testimonials, ratings, and feedback left by users on the Platform are the property of NextPitch AI and may be used for marketing purposes.

9. Confidentiality

Each Party agrees to keep confidential any non-public information about the other Party's business, pricing, technology, or users obtained during the term of this Agreement. This obligation survives termination for 2 years.

10. Independent Contractor

The Coach is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.

11. Representations and Warranties

  • The Coach has the qualifications and credentials represented on their profile.
  • The Coach is legally permitted to provide coaching services in their jurisdiction.
  • The Coach is not bound by any agreement that would prevent performance under this Agreement.

12. Limitation of Liability

Neither Party shall be liable for indirect, incidental, consequential, or punitive damages. NextPitch AI's total liability shall not exceed the total compensation paid to the Coach in the 3 months preceding the claim.

13. Term and Termination

13.1 Term

This Agreement begins on the date signed and continues until terminated by either Party.

13.2 Termination for Convenience

Either Party may terminate with 30 days' written notice.

13.3 Termination for Cause

NextPitch AI may terminate immediately if the Coach engages in unprofessional conduct, breaches confidentiality, or solicits users outside the Platform.

13.4 Effect of Termination

All confirmed upcoming sessions must be honoured. Outstanding compensation is paid within 14 days of termination.

14. Dispute Resolution

The Parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration.

15. Governing Law

This Agreement is governed by the laws of Taiwan, without regard to conflict of law principles.
